The terms, in plain language.

Celexta is a routing layer: you send requests to the Celexta API, and Celexta dispatches each request to a model provider’s endpoint — either one Celexta selects within the limits you set, or one you pin explicitly. The response you receive is generated by that provider’s model, not by Celexta.

The provider that served each request appears on your reciept and in the x-celexta-routed-to response header. Each provider processes your prompt under its own terms and retention practices, which vary by provider and are outside Celexta’s control.

You control the serving regions per key, including whether China-based providers may serve; that choice is recorded when the key is created, and prompts on a key are only sent to providers in regions that key allows. If you bring your own provider key, requests pinned to it are dispatched on your key under your own agreement with that provider, and that provider’s terms apply in full.

Celexta may change the set of available models and providers over time. Spend caps, rate limits, and provider filters you configure are enforced as documented, but routing decisions within your constraints are Celexta’s own.

You are responsible for activity under your account and API keys, and for keeping your keys confidential. API keys are shown in full once at creation; Celexta stores them hashed and cannot recover a lost key — revoke and reissue instead.

You must be able to form a binding contract in your jurisdiction to use Celexta. One person or organization’s keys may not be shared with, or resold to, unrelated third parties without Celexta’s written agreement.

Retention. Celexta retains prompts and responses to operate the service and to meet legal and compliance obligations. One operational archive is kept independent of your settings, is never used for training, and is deleted on request subject to legal holds.

Training. Unless you turn it off, Celexta may use your prompts and responses — in de-identified, aggregated form — to evaluate and improve routing quality and cost. This collective learning is how the router gets better for everyone, including you. The “Improve my routing” control in Settings stops this use for new requests when turned off. Automated scrubbing reduces secrets and personal data in training inputs, but no scrubber is perfect: do not send Celexta data you are not entitled to share, and treat de-identification as risk reduction, not erasure.

Feedback. Verdicts and corrections you submit through the feedback API are stored and used to improve routing, under the same rules as above.

Business customers may be offered separate data-processing terms. Where such an agreement exists, it overrides this section.

Celexta applies reasonable technical and organizational measures: content-free routing events, hashed API keys, access-restricted stores, and per-key provider and region scoping. But your prompts pass through Celexta’s infrastructure to third-party providers over networks Celexta does not control, and each provider handles your content under its own practices.

Because of that, Celexta cannot and does not guarantee the security or confidentiality of prompts or responses — and no service that routes to third-party model providers truthfully can. Your mitigations are the controls the product actually gives you: per-key region and provider restrictions, bringing your own provider key, and choosing what you send.

Outputs are generated by third-party models. Celexta does not warrant that any output is accurate, complete, non-infringing, or fit for a particular purpose, and does not control what a model produces. You are responsible for reviewing outputs before relying on them, and for ensuring your use of outputs complies with law and with the serving provider’s terms.

As between you and Celexta, you retain whatever rights you have in your prompts and in the outputs returned to you, subject to the serving provider’s own terms on output ownership.

You may not use Celexta to:

• Break the law, or violate the acceptable-use policies of the serving provider;
• Generate malware, CSAM, or content intended to deceive, defraud, or harm;
• Probe, stress-test, or abuse the service or upstream providers beyond your documented rate limits;
• Bulk-extract requests or responses — by automation, account farming, or otherwise — for the purpose of building or training a competing products or services, or for any other purpose not explicitly permitted by these terms;
• Circumvent spend caps, origin restrictions, or other controls, or share keys to that end.

Benchmarking and evaluating Celexta — including publishing your results, favorable or not — is explicitly permitted and encouraged; our own claims are published with reproduction commands and we hold yours to the same standard.

Violation of this section is grounds for suspension or termination. Celexta monitors usage patterns, including per-key behavior against spend caps, to enforce it.

The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Celexta does not commit to any uptime or availability level; routing to a fallback provider is a best-effort behavior, not a continuity guarantee.

To the maximum extent permitted by law, Celexta is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or lost business, arising from or related to the service — including acts, omissions, outages, or data practices of the model providers your requests are routed to.

Celexta’s total liability for any claim arising from or related to the service is limited to the amounts you paid Celexta in the three months preceding the event giving rise to the claim. Where law does not allow a limitation in this section, it applies to the fullest extent permitted.

You may stop using Celexta and close your account at any time; deletion and export requests are handled as described on the Privacy page, within 30 days. Celexta may suspend or terminate access for breach of these terms, with notice where practicable.

These terms are governed by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict-of-laws rules. Disputes will be resolved in the DIFC Courts, except where mandatory consumer-protection law in your jurisdiction gives you a non-waivable right to another forum. Business customers may instead agree with Celexta, in writing, to resolve disputes by arbitration administered by the Dubai International Arbitration Centre (DIAC), seated in the DIFC.

When these terms change, this page changes and the date at the top is updated; material changes are announced to account email addresses. Continued use after a material change takes effect constitutes acceptance. Questions: legal@celexta.com.
